Terms and Conditions of Use
These Terms and Conditions of Use ("TCU") govern the public diagnostic tools and account-based advertising technology services provided by Sulvo. The requirements that apply to a particular service are described below. Changes and their effective dates are governed by Section 4. As used in this Agreement, "including" means "including, but not limited to."
1. Welcome to Sulvo!
Our Services include public website diagnostics, the Sulvo CLI and MCP interfaces, integrations such as Sulvo in ChatGPT or Codex, and account-based ad serving, impression recovery, reporting, inventory management and Enterprise AdOps services. Public diagnostics and account-based services have different access requirements.
By using our Services, you agree to these terms and conditions of use (the "Sulvo Terms") and the Sulvo Program Policies (collectively, the "Agreement"). As used in the Agreement, "you" or "publisher" means the individual or entity using the Services (and/or any individual, entity or successor entity, agency or network acting on your behalf), "we", "us" or "Sulvo" means Sulvo Europe OÜ, and the "parties" means you and Sulvo.
2. Access to the Services; Sulvo Accounts
Public diagnostic tools may be used without creating or signing in to a Sulvo account. They read public website information; using a diagnostic does not enroll a property in ad serving, authorize changes to ad units, or grant access to private account reports. Submitting a domain and work email through our website starts a publisher inquiry or signup process, not an approved account. Account-based ad serving, impression recovery, reporting and inventory services require completion and approval of the relevant account and property onboarding. We may refuse or limit access in accordance with these Terms and applicable law. By enrolling an approved Property in account-based advertising services, you permit Sulvo to serve applicable advertisements and related content and to access, index and cache that Property as needed to provide those services. Each approved website, application, player or other property is a "Property". Software applications may require written pre-approval and must comply with the applicable Program Policies.
3. Using our Services
Use the Services only for lawful purposes and within the access permitted by the relevant service. Do not bypass access controls, submit credentials to public diagnostic tools, attempt to scan private networks, or misuse the Services. Public diagnostics sample publicly accessible information and any figures you voluntarily provide. Findings are directional technical observations and may vary with page samples, geography, consent, bot protection and time. They do not establish actual revenue loss, guarantee recovery or profitability, or certify legal or advertising-policy compliance. Validate findings against your own reporting and authorized testing before making decisions. You may download, copy, screenshot and share your diagnostic output for lawful business purposes, including with your team, advisers and AI assistants, provided you respect personal data, third-party rights and the confidentiality duties in Section 8. This permission does not grant rights to reproduce Sulvo software, proprietary methodology or unrelated documentation, or to disclose confidential account information. Keep account access limited to authorized individuals and protect credentials. You may stop using a public diagnostic or disconnect a plugin at any time. Ending public-tool use does not require an account cancellation or removal of advertising code; termination of account-based services is governed by Section 9.
4. Changes to our Services; Changes to the Agreement
We may improve, add, restrict or discontinue Services. We publish revisions to these Terms on this page and changes to the Program Policies in Section 17 or the applicable policy page. Material changes affecting existing account-based agreements generally become effective fourteen (14) days after posting, and we may also send notice through account or contact information available to us. Changes for new features or public services, or changes required by law, may take effect on publication or on the date required by law. Changes do not apply retroactively. A signed service order, statement of work or data-processing agreement may specify its own notice and amendment rules and takes precedence as described in Section 13. Fees for separately agreed paid services, including Enterprise engagements, are governed by the agreed order; this clause does not itself authorize new charges or retroactive fees. Any future charge for a currently free public service will be clearly disclosed before it applies, with an opportunity to stop using that service. If you do not agree to effective revised terms, stop using the affected service or terminate the relevant account-based service under Section 9. Earlier versions are available through the version link below.
5. Intellectual Property; Brand Features
Except for the limited diagnostic-output permission in Section 3 and any applicable software license, neither party acquires rights in the other party's intellectual property or its licensors' rights. Sulvo software is licensed for use of the relevant Services, subject to its applicable license and these Terms. Do not reproduce, modify, distribute, sell, lease, reverse engineer or remove proprietary notices from Sulvo software or proprietary documentation unless the applicable license, law or our written permission allows it. Your own inputs and materials remain yours, subject to the permissions needed to process them and provide the Services. The diagnostic-output permission does not transfer ownership of underlying Sulvo technology or third-party material.
We grant you a non-exclusive, non-sublicensable license to use Sulvo’s trade names, trademarks, service marks, logos, domain names, and other distinctive brand features ("Brand Features") solely in connection with your use of the Services and in accordance with the Agreement and the Sulvo Branding Guidelines. We may revoke this license at any time. Any goodwill arising from your use of Sulvo’s Brand Features will belong to Sulvo.
We may include your name and Brand Features in our presentations, marketing materials, customer lists and financial reports.
6. Privacy
Our Privacy Policy describes how we collect, use, disclose, retain and protect personal information for the website, diagnostics, accounts and advertising services. Acknowledging the policy or accepting these Terms is not blanket consent to all processing. Optional website analytics and advertising or visitor-identification tags are controlled through Privacy choices. For properties using Sulvo advertising technology, publishers must provide an accessible, accurate privacy notice, obtain consent where required, communicate applicable privacy choices and signals, and honor them throughout the relevant processing. Your publisher obligations and any agreed data-processing terms apply separately from the choices for visiting sulvo.com.
7. Seller General Data Protection Regulation ("GDPR") responsibilities
Sulvo acts as a controller where it determines the purposes and means of processing, including administering business inquiries, signup, accounts and its own website. Roles for publisher and visitor data depend on the processing activity and applicable service arrangements. Where Sulvo processes personal data on your behalf, the applicable controller-processor agreement or data-processing agreement must set out documented instructions, the processing scope and duration, confidentiality, security, subprocessors, assistance with rights and incidents, and return or deletion of data. Contact the privacy team at privacy@sulvo.com for the data-processing terms and recipient information relevant to your service. A signed agreement governs its processing scope; this clause does not classify every activity as processor activity.
Personal data is processed under the legal basis appropriate to each purpose, such as performing or preparing a requested contract, legitimate interests in security and service administration where those interests do not override individual rights, consent for optional activities that require it, and legal obligations. Applying for an account does not provide blanket consent for unrelated marketing or tracking. Collect only the information necessary for the relevant purpose and retain it according to the purposes, criteria and obligations described in the Privacy Policy and applicable processing agreements. GDPR rights and other mandatory data-protection rights apply where the law applies to the processing, not solely according to the country stated on an account.
Publishers must obtain and record legally valid consent for cookies, storage, personalization or other processing where required by law, and provide usable ways to withdraw consent and exercise applicable opt-out rights. Disclose the recipients or recipient categories, purposes and relevant controls for personal data processed through the Services. Honor applicable browser preference signals and communicate consent or privacy choices to the relevant parties. Where a processing agreement assigns duties to Sulvo, those duties remain with Sulvo; these publisher obligations do not remove our own responsibilities.
8. Confidentiality
Protect Sulvo Confidential Information from unauthorized disclosure. This includes non-public software, technology, proprietary methodology and documentation; private property-performance and account statistics; non-public beta features; and information marked confidential or reasonably understood to be confidential. Information already lawfully known to you, public through no breach, independently developed, or lawfully obtained from another party is excluded. Public diagnostic findings based on public evidence are not confidential merely because Sulvo generated them. You may share your own diagnostic output under Section 3 and disclose private account reports to authorized employees, professional advisers or service providers that need them and are bound to protect them. Public disclosure of confidential account statistics, proprietary material or another party's data still requires permission. You may accurately disclose Sulvo's gross payments to you. Nothing here restricts lawful reports to authorities or exercise of mandatory rights.
9. Termination
You may request cancellation of an account-based service through the account cancellation process or contact us if that process is unavailable. Unless a signed service order or mandatory law provides otherwise, termination is effective within ten (10) business days after receipt of a valid cancellation request. Contact us about any earned balance or information needed to complete closure. Closure of an active account is separate from erasure of personal data: inquiry, account, financial, security and archived records may remain where needed for the purposes and obligations described in the Privacy Policy or applicable processing agreement. You may request access, correction or deletion through privacy@sulvo.com. Public diagnostic users can stop using or disconnecting the tool without creating or cancelling an account.
Sulvo may at any time terminate the Agreement or suspend or terminate the participation of any Property in the Services for any reason. If Sulvo determines that invalid activity was performed in your account, Sulvo may terminate the Agreement immediately or at Sulvo’s own discretion, provide you with a period of time not to extend more than 90 days from the invalid activity determination, for you to suspend, discontinue, correct or eliminate the invalid activity. During such a period of 90 days, or if you breach the Agreement or Sulvo suspends or terminates your Account, you (i) will not be allowed to create a new Account, and (ii) may not be permitted to monetize content on other Sulvo products. Upon any termination or expiration of this Agreement, you will promptly remove all Sulvo code, tags, and scripts from your Properties. You will be liable for all use of the Services, and any impressions served through Sulvo tags, until such code is fully removed from your Properties.
10. Indemnity
You agree to indemnify and defend Sulvo, its affiliates, agents, and advertisers from and against any and all third-party claims and liabilities arising out of or related to the Properties, including any content served on the Properties that is not provided by Sulvo, your use of the Services, or your breach of any term of the Agreement. Sulvo’s advertisers are third-party beneficiaries of this indemnity.
11. Representations; Warranties; Disclaimers
You must have authority to accept the terms relevant to the Services you use and provide accurate information. For enrollment, ad serving, account reporting, recovery or inventory management on a Property, you must own that Property or be authorized to act for its owner and make the relevant technical and editorial decisions. Those account and Property warranties do not require ownership of a site merely to request a lawful read-only check of its public pages. Public checks do not authorize access to private information, implementation of ads or changes to a third-party site. You must not evade an account or Property restriction through another identity. Individual users of account-based Services must be at least 18. Account-based Services ordinarily permit one account per publisher unless Sulvo authorizes another arrangement.
OTHER THAN AS EXPRESSLY SET OUT IN THE AGREEMENT, WE DO NOT MAKE ANY PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTION OF THE SERVICES, OR THEIR PROFITABILITY, RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE EACH SERVICE "AS IS". TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES, EXPRESS, STATUTORY OR IMPLIED. WE EXPRESSLY DISCLAIM THE WARRANTIES OR CONDITIONS OF NONINFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
12. Limitation of Liability
TO THE EXTENT PERMITTED BY LAW, EXCEPT FOR ANY INDEMNIFICATION OBLIGATIONS HEREUNDER OR YOUR BREACH OF ANY INTELLECTUAL PROPERTY RIGHTS, CONFIDENTIALITY OBLIGATIONS AND/OR PROPRIETARY INTERESTS RELATING TO THE AGREEMENT, (i) IN NO EVENT SHALL EITHER PARTY BE LIABLE UNDER THE AGREEMENT FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, OR PUNITIVE DAMAGES WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY, AND (ii) EACH PARTY’S AGGREGATE LIABILITY UNDER THE AGREEMENT IS LIMITED TO THE NET AMOUNT RECEIVED AND RETAINED BY THAT PARTICULAR PARTY IN CONNECTION WITH THIS AGREEMENT DURING THE THREE MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE CLAIM. Each party acknowledges that the other party has entered into the Agreement relying on the limitations of liability stated herein and that those limitations are an essential basis of the bargain between the parties. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or waives mandatory consumer, privacy or data-protection rights or remedies. Applicable statutory rights, regulator complaints and remedies remain available. A signed service order may state a different agreed liability allocation to the extent permitted by law.
13. Miscellaneous
Entire Agreement; Amendments
These Terms, applicable Program Policies and any signed service order, statement of work or data-processing agreement form the agreement for the Services they cover. A signed data-processing agreement governs its data-protection scope; a signed service order or statement of work governs its agreed commercial scope; these Terms apply otherwise. A conflicting signed document takes precedence within that scope unless it expressly provides otherwise. No provision overrides mandatory law or individual data-protection rights. Amendments are made by a writing agreed by the parties or under Section 4, subject to any amendment rules in the applicable signed document.
Assignment
You may not assign or transfer any of your rights under the Agreement.
Independent Contractors
The parties are independent contractors and the Agreement does not create an agency, partnership, or joint venture.
No Third-Party Beneficiaries
Other than as set forth in Section 10, this Agreement does not create any third-party beneficiary rights.
No Waiver.
A party's failure or delay in enforcing a provision is not a waiver of that provision or any later breach. A waiver must be expressly agreed by the party granting it and applies only to its stated scope.
Severability
If it turns out that a particular term or section of the Agreement is not enforceable, the remaining sections of the Agreement will remain in full force and effect.
Survival
Sections 8, 9, 10, 11, 12, 13, 14, 15, and 16 of these Sulvo TCU will survive termination.
Governing Law; Venue
Sulvo Europe OÜ is registered in Estonia. These contractual Terms are governed by Delaware law, excluding its conflict-of-laws rules, subject to mandatory laws and rights that cannot be waived by contract. If a dispute is not subject to arbitration under Section 14, the parties submit to the state courts in New Castle County, Delaware, or the federal courts in the District of Delaware, unless a signed agreement or mandatory law requires or permits another forum. Nothing here limits rights to contact a regulator, exercise GDPR or other data-protection rights, seek a remedy in a court available under mandatory law, or use small claims court as provided in Section 14.
Force Majeure
Neither party will be liable for inadequate performance to the extent caused by a condition (for example, natural disaster, act of war or terrorism, riot, labor condition, governmental action, and Internet disturbance) that was beyond the party’s reasonable control.
Communications
We may send information needed to respond to an inquiry, progress a requested signup, administer an account or provide a service. Signup follow-up and service messages are distinct from optional promotional marketing. Use available unsubscribe or preference controls for optional messages, or contact legal@sulvo.com if you do not have an account. Declining optional marketing does not itself terminate a service. Notices required for an active contract remain governed by Section 16 and the applicable service order.
Taxes
As between you and Sulvo, Sulvo is responsible for all taxes (if any) associated with the transactions between Sulvo and advertisers in connection with Ads displayed on the Properties. You are responsible for all taxes (if any) associated with the Services, other than taxes based on Sulvo’s net income. All payments to you from Sulvo in relation to the Services will be treated as inclusive of tax (if applicable) and will not be adjusted.
Testing
You authorize Sulvo to periodically conduct tests that may affect your use of the Services, including but not limited to A/B testing, optimization experiments, and performance evaluations. To ensure the timeliness and validity of test results, you authorize Sulvo to conduct such tests without prior notice.
Raising Issues with Public Authorities
Nothing in this Agreement prevents any party from raising issues of non-compliance with the law with any relevant public authority. To the extent this subsection conflicts with any other part of this Agreement, including Section 8 (Confidentiality), this subsection will govern.
Feedback
If you provide Sulvo with suggestions, comments, or other feedback relating to the Services ("Feedback"), you grant Sulvo a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, create derivative works from, distribute, and otherwise exploit such Feedback for any purpose. Any improvements or developments made by or on behalf of Sulvo that derive from Feedback are owned by Sulvo.
Service Availability
SULVO DOES NOT REPRESENT OR WARRANT THAT THE SERVICES WILL BE AVAILABLE WITHOUT INTERRUPTION. Sulvo may suspend or modify access to the Services, or change any or all of the Services, protocols, or methods of access, for any or no reason at any time, and will bear no liability for such decision. Sulvo will use commercially reasonable efforts to provide notice prior to suspending or terminating access. You are solely responsible at all times to back up your data and to be prepared to manage your Properties without access to the Services.
Publicity
You may not issue any public announcement regarding the existence or content of this Agreement without Sulvo’s prior written approval. Sulvo may include your name and Brand Features in presentations, marketing materials, customer lists, and financial reports.
14. Arbitration
Where arbitration is permitted, disputes arising from these contractual Terms should first be raised in writing so the parties can try to resolve them in good faith within sixty (60) days. Send notices to legal@sulvo.com with information sufficient to identify the dispute. This process does not delay a mandatory statutory deadline, restrict a regulator complaint or require exhaustion before an urgent or non-waivable remedy.
If a contractual dispute remains unresolved, either party may initiate binding arbitration before a single arbitrator under the applicable American Arbitration Association rules, to the extent this agreement is enforceable for that dispute and user. Commercial rules apply to business disputes; applicable consumer rules and mandatory protections govern where required. Hearings may be remote, with any in-person location and cost allocation determined under the applicable rules and law. This clause does not compel arbitration of matters that mandatory law permits you to bring elsewhere.
Either party may bring an individual claim in a small claims court with jurisdiction, seek appropriate urgent relief or pursue a statutory remedy that cannot be subjected to arbitration. Data-protection rights, complaints to supervisory authorities and access to a competent court under mandatory law are preserved.
You may opt out of this arbitration agreement by notifying legal@sulvo.com within thirty (30) days of first accepting the applicable Terms. Provide your name, a contact email, a clear opt-out statement and enough information to identify the relevant service. If you have an account, include its email or identifier; public diagnostic users do not need an account to opt out. An opt-out affects arbitration only; the remaining lawful Terms continue to apply.
15. No Class Action; Jury Waiver
WHERE PERMITTED UNDER THE APPLICABLE LAW, YOU AND SULVO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Sulvo agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES THE RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT.
To the extent a contractual limitations period is permitted, a claim under this Agreement must be brought within one (1) year after the claimant knew or reasonably should have known the relevant act or omission. A longer or different mandatory statutory period applies where required. This provision does not shorten a non-waivable consumer or data-protection remedy or a regulator's powers.
16. Electronic Communications Consent
We may provide account and service notices electronically, including by email, account interfaces or publication on the relevant Service. Where legally effective, you agree to receive those notices electronically. A website inquiry or signup request permits us to respond about that request; it is not blanket consent to optional marketing or website tracking.
Electronic notices satisfy writing requirements to the extent the applicable law permits. You may save or print copies of notices, agreements and these Terms for your records. This recordkeeping permission is compatible with the restrictions on unrelated copyrighted or confidential material in Sections 3 and 8.
Withdraw optional marketing or other optional communications through the provided unsubscribe or preference controls, or contact legal@sulvo.com. An active account-based service may require administrative, security or legally required notices; if you cannot receive a notice legally necessary for that service, we will explain the available delivery or service options. Public diagnostics need no account, and declining optional communications alone does not suspend them.
17. Detailed Sulvo’s Program Policies
Restrictions on Passing and Redirecting Inventory.
Inventory coming from a Seller to Sulvo is subject to all publisher inventory rules. Before sending an impression to Sulvo, Seller must not first pass that impression through any system used for dynamically or programmatically allocating ad requests to Ad Networks (i.e., entities that buy on behalf of multiple advertisers, taking principal risk on the transaction) based on real-time pricing information (e.g., RTB) or automatic estimations of real-time pricing information (e.g., yield management). Further, Seller must not redirect inventory from Sulvo back to its own system, if that system is used for dynamically or programmatically allocating ad requests to Ad Networks based on real-time pricing information (e.g., RTB) or automatic estimations of real-time pricing information (e.g., yield management). Sulvo has no obligation to provide technical support to self-serve seller accounts.
Sulvo has no obligation to provide technical support to self-serve seller accounts.
Video Inventory
Video inventory (i.e., in-stream ad calls from both linear video content and online games) coming from a Seller to Sulvo is allowed only when the Seller either (i) owns the video player, (ii) owns the video content, (iii) holds exclusive sales rights to the video content, or (iv) plays video units prepared by Sulvo.
Site Content Policies
Websites or other properties that display the provided ads must not contain any of the following:
- Pornographic, adult, or mature content.
- Violent content.
- Hate speech (including content that incites hatred or promotes violence against individuals or groups based on race or ethnic origin, religion, disability, gender, age, veteran status, or sexual orientation/gender identity), harassment, bullying, or similar content that advocates harm against an individual or group.
- Excessive profanity.
- Hacking/cracking content.
- Illicit drugs and drug paraphernalia content.
- Sale of tobacco or tobacco-related products.
- Sale of weapons or ammunition (e.g., firearms, firearm components, fighting knives, stun guns).
- Sale of products that are replicas or imitations of designer goods.
- Sale or distribution of pre-written term papers or student essays.
- Content regarding programs which compensate users for clicking on ads or offers, performing searches, surfing websites, or reading emails.
- Online gambling or online casino-related content, sale of alcohol or sale of prescription drugs unless expressly permitted by Sulvo.
Invalid Activity
- You must not use artificial means to inflate impressions, conversions and/or clicks (e.g. click fraud).
- You must not distribute malware or deliver ads that link to pages that distribute malware.
- You must not use device fingerprints or locally shared objects (e.g. Flash cookies, Browser Helper Objects, HTML5 local storage) other than HTTP cookies, or user-resettable mobile device identifiers designed for use in advertising.
- You must not use systems that overlay ad space on a given site without express permission of the site owner.
Site Behavior.
Sellers are prohibited from displaying ads on websites and other properties that do any of the following: (i) change user preferences or initiate downloads without the user's express consent, (ii) redirect users to unwanted websites, or (iii) contain pop-ups or pop-unders or any other elements that interfere with site navigation.
Traffic Sources. Sellers may not provide inventory to Sulvo that do the following:
- Be loaded by any software that can trigger pop-ups, redirect users to unwanted websites, modify browser settings, or otherwise interfere with site navigation. For clarification, this prohibition precludes the use of any system that overlays or creates ad space on a given site without the express permission of the site owner, including without limitation toolbars.
- Receive traffic from online advertising such as link exchange, pop-up and similar traffic. Users should always be able to easily find what an ad promises.
Webmaster Guidelines
Sellers are required to adhere to general webmaster quality expectations including but not limited to:
- Do not place excessive, repetitive, or irrelevant keywords in the content or code of webpages.
- Avoid hidden text or hidden links.
- Avoid "doorway" pages created just for search engines, or other "cookie cutter" approaches such as affiliate programs with little or no original content.
- Do not include deceptive or manipulative content or construction to improve your site's search engine ranking (e.g., your site's PageRank).
- Create a useful, information-rich site, and write pages that clearly and accurately describe your content.
Altering code
Ad code may not be altered, nor may the standard behavior, targeting, or delivery of ads be manipulated in any way.
Ad Caching
Ads may not be pre-cached, cached, or stored in any fashion. All ads must be requested dynamically.
Ad Placement
Ad code may not be:
- Displayed in pop-ups, pop-unders, exit windows, expanding buttons, animation or other similar methods.
- Obscured by elements on a page.
- Placed on any non-content-based page.
- Placed on pages published specifically for the purpose of showing ads.
- Integrated into a software application of any kind, including toolbars.
- Placed on pages whose content or URL could confuse users into thinking it is associated with a known brand due to the misuse of logos, trademarks, or other brand features.
- Placed in email programs or in emails, including but not limited to email newsletters.
Number of Ads
Sellers monetizing sites must ensure that at any given time, in-page ads (that is, ads that stay within the set dimensions of the ad slot), in-app ads (ads served within mobile applications), and other paid promotional materials do not exceed the amount of site content.
Seller Restrictions
Sellers can choose to block specific ads, advertisers, buyer networks, rich media vendors, and ads that use tagging as a means to create or use remarketing lists, or that use cookies based on interest-based categories.
In-App Ad Remarketing
To enable remarketing of In-App Ads using mobile device identifiers designated for advertising ("advertising-specific device identifier"), Seller must disclose in its privacy policy (i) that Seller will collect and pass to third parties advertising-specific device identifiers unless the user has opted-out of ad tracking for the device, and (ii) how a user who has opted-out of ad tracking may reset such identifier to disassociate the device from remarketing data that was collected and passed before the opt-out.
Location Data
In addition to the Location data provisions in the Platforms program policies, if a Seller (i) collects (whether through direct or indirect means); (ii) processes, or (iii) discloses any information that is derived from an end user’s GPS, wifi or cell tower data, then that Seller must (A) obtain express (i.e., opt-in) consent from its end users to all uses of such data, and (B) disclose in its privacy policy all such uses of such data (including without limitation, for example, any sharing of such data with third parties).
Auto-Update Minimum CPM Recommendations
Sellers that opt-in to the auto-updated minimum CPM recommendations are responsible for the minimum CPM setting applied to each ad unit.
Video
Sellers must comply with the below video policies to display any ads.
Video Content and Site Content Requirements.
Sellers must disclose in their privacy policies that third parties may collect certain types of information about a user's visit to their websites, including whether the user interacted with content on such sites. Any given video content clip containing the video ad must be at least 15 seconds in length.
Video Player Requirements.
Video players used to request and display ads, must meet the technical specifications set forth in the Video Player Requirements and support all forms of user interaction supported by the video format of such ads. For example, all clickable links within an ad must remain clickable while displayed in the video player. Sellers must not (i) alter the configuration of the video player to manipulate the targeting or delivery of ads in any way that is not expressly permitted by Sulvo, (ii) hard-code ads into the video player, or (iii) display any images, including creatives, in the template background of the video player.
Interaction of Ad with Video Player.
Once Sulvo has returned an ad in response to a request from Seller, the ad must be displayed until (i) the ad itself finishes playing; (ii) the user skips or closes the ad; or (iii) the end user navigates away from the video content by, for example, closing the browser window with the page displaying the video. Content playback must be paused when a user clicks on an ad.
Video Ad Placement.
Only one video ad may be displayed within the video player at any given time. Sellers may not (i) obscure, hide, or remove any elements of the ad units, (ii) place the ad such that it obstructs the video player's play, pause, volume or any other controls, or (iii) hard-code the ads into the content stream.
Ad format guidelines
Skippable video ads (linear):
- Ads must persist in the player or game until the user selects ‘Skip Ad’, or the completion of the ad.
- Publishers must not mute Skippable ads by default.
- Ads are only eligible to serve in the pre-roll video ad placement or in mid-rolls, provided the sum duration of video content exceeds the sum duration of video ads
- Click-to-play: The user clicks play to start video or gaming content.
- Main landing or navigational pages can only serve Skippable ads in click-to-play players or games.
- Pages with multiple players or games must set up click-to-play for all players or games.
- Auto-play watch or play pages: The user visits a page exclusively to watch or play interactive media content (similar to YouTube watch environments).
- Main landing pages of a site (e.g., home, navigational, search, etc.) are not considered autoplay watch or play pages.
- Players or games that auto-play on user-initiated landing pages are allowed.
- Only one autoplay player or game is allowed per landing page.
- Video content playlists that auto-play may only display Skippable ads in the pre-roll placement prior to the initial video. All subsequent video content clips are not eligible for Skippable ads.
- To display a Skippable ad, the content clip must be one minute or longer.
In-Stream non-skippable video ads (linear):
- Ads are eligible to serve in pre-roll, mid-roll and post-roll video ad placements.
- Ads must persist in the player or game until completion of the ad, and cannot be altered with skip or partial-view functionality.
- Publishers must not mute In-Stream ads by default.
- Video content playlists that auto-play may only serve video ads once every fifth video.
- To display one video ad, the content clip must be one minute or longer.
- To display more than one video ad, the content clip must have two additional minutes of content per additional video ad (i.e., three video ads for five minutes of content).
Overlay bottom-third ads (non-linear):
- Ads may start any time during the video content (recommended in the first 10 seconds).
- Ads must display for at least 15 seconds, or until minimized by the user.
- Ads must persist until the completion or pause of the video content, or replaced with a new ad, either in a displayed or minimized environment.
- Once minimized, ads cannot be displayed again without the user actively re-opening the minimized ad (i.e. cannot re-open overlays automatically).
- To display one overlay ad, the content clip must be 30 seconds or longer.
- To display additional overlay ads, the publisher needs to consider one of these options:
- The content clip must have 7 additional minutes of content per overlay (i.e., three overlay ads for 15 minutes of content).
- The user paused and then restarted the video content.
Full-slot ads (non-linear):
- Ads will be served as though they were linear ads in pre-roll, mid-roll and post-roll placements.
- Ads should be entirely visible, and not covered in any form or manner.
- Ads must display for at least 15 seconds, or until closed by the user.
- To display full-slot ads, the content clip must be 15 seconds or longer.
Companion ads (optional):
- Publishers using companion ads must place these ads close enough to the corresponding video ads for direct association.
Fees
The public CLI, MCP connection and diagnostic tools are currently free. Under the current approved self-service publisher arrangement, Sulvo does not charge ad-inventory suppliers to use its platform; signup alone does not obligate an approved self-service publisher to pay Sulvo fees or dues. Enterprise managed inventory, dedicated AdOps and other separately agreed paid work have their own pricing and scope in a signed service order or statement of work. That document governs charges, invoicing and fee changes for that agreed work; it does not turn a free diagnostic or inquiry into a paid engagement. New charges are not imposed retroactively and follow Section 4 and the applicable order.
Technical Support
Self-service publishers should first make reasonable efforts to investigate configuration, software and connectivity issues and then contact Sulvo if assistance is needed. Self-service access does not include a guaranteed support level or dedicated AdOps commitment unless separately agreed. Enterprise support, managed inventory duties and any response or service levels are specified in the applicable signed service order or statement of work.
